These Terms of Service (“Terms”) govern your access to and use of the Quantum Audit Engine platform and services (“Services”). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Services, you represent that you have the authority to enter into these Terms on behalf of yourself or your organization, and you agree to be bound by these Terms and our Privacy Policy.

2. Subscription Plans and Payment

QAE offers four subscription tiers: Launchpad ($7,497/yr), Professional ($19,997/yr), Enterprise (starting at $49,997/yr), and Managed GRC ($5,997/mo). All annual plans are billed annually in advance. Monthly retainer plans are billed monthly. Prices are subject to change with 60 days written notice.

Payment is due upon subscription activation. Accounts with overdue balances may be suspended after 15 days. All fees are non-refundable except as required by applicable law.

3. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not use the Services to violate any law or regulation; attempt to gain unauthorized access to our systems; interfere with other users’ access; use automated tools to scrape or extract data; or resell or sublicense the Services without our written consent.

4. Data Ownership and Security

You retain ownership of all data you upload to the QAE platform. We process your data solely to provide the Services. We implement SOC 2 Type II compliant security controls and encrypt all customer data at rest and in transit. See our Trust Center for full security documentation.

5. Service Level Agreement (SLA)

QAE targets 99.9% monthly uptime for the platform. Enterprise plan customers receive a formal SLA with service credits for downtime exceeding 0.1% in any calendar month. Scheduled maintenance windows are excluded from uptime calculations and communicated 48 hours in advance.

6. Intellectual Property

QAE retains all intellectual property rights in the platform, including software, documentation, and policy templates. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform during your subscription term.

7. Limitation of Liability

To the maximum extent permitted by law, QAE’s total liability for any claims arising under these Terms is limited to the fees paid in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

8. Termination

Either party may terminate annual subscriptions with 60 days written notice prior to renewal. Monthly retainer plans may be terminated with 30 days written notice after the 6-month minimum term. Upon termination, you have 90 days to export your data before it is deleted.

9. Governing Law

These Terms are governed by the laws of the State of Texas. Disputes will be resolved through binding arbitration in Dallas County, Texas, except that either party may seek injunctive relief in court for intellectual property violations.
