1. Acceptance of Terms

By accessing or using the Quantum Audit Engine platform and website (quantumauditengine.com), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all users, including visitors, registered users, and customers.

2. Description of Services

Quantum Audit Engine provides a cloud-based GRC (Governance, Risk, and Compliance) platform that includes compliance automation, audit management, risk register, vendor risk management, policy library, employee training, and AI-assisted compliance tools. Services are provided on a subscription basis according to the plan selected at time of purchase.

3. Account Registration

To use our platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Billing

Quantum Audit Engine offers four subscription tiers: Launchpad ($7,497/year), Professional ($19,997/year), Enterprise ($49,997/year starting), and Managed GRC ($5,997/month, 6-month minimum). All annual plans are billed in advance. Managed GRC retainers are billed monthly. Prices are subject to change with 30 days written notice. Taxes may apply based on your jurisdiction.

5. Cancellation and Refunds

Annual subscriptions may be cancelled at any time, but are non-refundable after the 14-day period following initial purchase. Managed GRC retainers require 30-day written notice before the end of a billing period to avoid the next month’s charge. The 6-month minimum term applies to Managed GRC plans and early termination fees may apply.

6. Acceptable Use

You agree not to use the platform for any unlawful purpose, to upload malicious code, to attempt to gain unauthorized access to any portion of the platform, to interfere with or disrupt the integrity of the platform, to collect or harvest user data without consent, or to use the platform in any manner that violates applicable laws or regulations.

7. Intellectual Property

All content, features, and functionality of the Quantum Audit Engine platform, including but not limited to software, text, graphics, logos, and policy templates, are the exclusive property of Quantum Audit Engine and are protected by applicable intellectual property laws. You may not copy, modify, or distribute our proprietary content without express written permission.

8. Data Ownership and Customer Data

You retain full ownership of all data you upload, create, or store within the platform. By using our platform, you grant Quantum Audit Engine a limited license to process your data solely for the purpose of providing the services described in these terms. We will not access your compliance data without authorization except as required by law.

9. Service Level Agreement

Quantum Audit Engine targets 99.9% uptime for all paid plans. Enterprise and Managed GRC plans include a 4-hour response SLA for critical support issues. Planned maintenance windows will be communicated with at least 48 hours advance notice. SLA credits may be issued for extended outages at our discretion.

10. Limitation of Liability

To the maximum extent permitted by law, Quantum Audit Engine shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, or goodwill, arising out of or in connection with these terms or the use of our platform. Our total liability shall not exceed the amounts paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Quantum Audit Engine and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the platform or violation of these terms.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these terms shall be resolved in the courts of Dallas County, Texas.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
